Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and Sport Creates Memories ("SCM", "we", "us", "our"). They govern your access to and use of the SCM mobile application (the "App"), the website at sportcreatesmemories.com (the "Website"), and the related backend services (collectively, the "Service").

The Service is designed for adult coaches, scouts, and administrators of youth football leagues. By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, you may not use the Service.

Plain-English summary. SCM is a tool for coaches, scouts, and league admins to organise youth football matches. You must be 18 or older to hold a SCM account. Coaches are responsible for getting parental consent before adding a player. Match results must be submitted by both coaches and are reconciled automatically. SCM is provided as-is, free of charge, and we may update or pause the Service. The full legal language follows.

1.Acceptance and Eligibility

You must be at least 18 years of age to register for an SCM account.
You must have the legal capacity to enter into a binding contract in your country of residence.
You must not have been previously suspended or removed from the Service.
If you are registering on behalf of a club or other organisation, you represent that you have the authority to bind that organisation to these Terms.
Children (minors) do not create accounts on the Service. Players are recorded by their Coach and never log in.

2.Definitions

"Coach" — an adult user who manages one or more youth teams in a SCM league.
"Scout" — an adult user granted view access to player statistics for talent-identification purposes.
"Admin" — an SCM staff member who approves coaches, configures leagues, and moderates the platform.
"Player" — a child whose details are entered into the Service by their Coach. Players do not interact with the Service directly.
"League" — a set of teams within a 15 km radius and the same age category that play a season of matches against each other.
"Match" — a scheduled fixture between two teams in a League.
"User Content" — anything you submit to the Service: profile photo, team setup, player records, match results, chat messages, support enquiries.

3.Account Registration and Approval

3.1 Sign-up flow

Coaches register through the SCM App by providing their name, email address, phone number, club, and team setup. Sign-up is confirmed by a one-time passcode (OTP) sent to your phone or email.
Coach accounts are auto-approved by default. SCM reserves the right to require manual approval, to request additional verification, or to refuse registration in its sole discretion (for example, where the supplied club name or location appears inconsistent with the requested league).
Scout accounts are issued only by SCM staff after offline verification and a signed scout undertaking. There is no self-service scout sign-up.
Admin accounts are issued and revoked exclusively by SCM staff.

3.2 Account security

You are responsible for keeping your password and one-time passcodes confidential and for all activity that occurs under your account.
You must notify us at [email protected] immediately upon discovering any unauthorised use of your account.
You may not transfer, sell, lend, or share your account with anyone else.
SCM may, but is not obliged to, require periodic password reset or two-factor authentication where it judges the risk to warrant it.

4.Coach Responsibilities and Parental Consent

You, the Coach, are the legal point of contact for each Player on your team. Before adding a Player to the Service, you confirm that you have obtained verifiable consent from that Player's parent or legal guardian, as required by applicable law (including COPPA, GDPR Article 8, and your local data-protection regime).
You will only upload the minimum information about each Player that the Service requires (name, position, date of birth, optional photo). You will not upload contact details, health records, school information, or any other category of personal data about a Player.
You will not upload a Player's photo unless you have explicit parental / guardian consent for that photo to be processed by SCM and visible to authorised Scouts.
You will keep Player records accurate and up to date and will promptly remove any Player who is no longer on your team.
You will obey all safeguarding rules in your jurisdiction. SCM does not replace, and is not a substitute for, your own safeguarding policy, criminal-record checks, or local football-association rules.
You will respond promptly to any parent or guardian who asks you to remove a Player from the Service. If you cannot do so, you must escalate to [email protected].

5.Scout Responsibilities

Scouts receive view-only access to Player statistics (goals scored, Player-of-the-Match tallies) and basic Player profile fields, strictly for the purpose of talent identification.
Scouts must not approach a Player or a Player's family directly through information obtained from the Service. All approaches must go through the Player's Coach in line with applicable football-association rules.
Scouts must not export, screenshot, copy, sell, or otherwise re-distribute Player data outside of their personal scouting workflow.
Scouts must keep their credentials confidential and must report any suspected leak to [email protected] within 24 hours.
Breach of the scout undertaking is grounds for immediate termination of the scout account and may result in legal action.

6.League Rules and Match Scheduling

6.1 League formation

Leagues are formed automatically by grouping registered coaches whose clubs lie within a 15 km radius and who share the same gender × age category (e.g. Boys U-12).
Each coach's position is determined either from the device GPS reading you authorise during profile setup, or from the address you supply manually.

6.2 Fixture format

The default season format is a double round-robin (each team plays every other team home and away).
League positions may be followed by a McIntyre playoff series for top-finishing teams, configured by the league admin.
Matches are scheduled only on Friday, Saturday, and Sunday. The default kick-off time is 14:00 local time. The league admin may shift the time of any individual match.

6.3 Postponements and rescheduling

A match may only be postponed in advance and only by mutual written agreement of both coaches and the league admin, in line with local football-association rules.
A match that does not kick off and has no agreed rescheduling will be recorded as forfeited; the forfeit rules in Section 7.3 apply.

7.Match Result Submission and Disputes

7.1 Dual submission

After every match, both the home coach and the away coach must independently submit their version of the result (final score and goal scorers) through the App.
The submission deadline is Monday 09:00 local time following the match. Submissions made after the deadline are accepted only at SCM's discretion.

7.2 Automatic reconciliation

When both submissions agree, the result is finalised immediately and the league table is updated.
When the two submissions disagree on the score, the result is flagged as disputed. The league admin reviews the dispute and decides the official result, taking into account any evidence the coaches provide. The admin's decision is final.

7.3 Forfeits

A team that fails to fulfil a scheduled match without an agreed postponement forfeits the match. A forfeited match is recorded as a 3-0 loss for the absent team and a 3-0 win for the team that attended, unless the league admin determines otherwise. Forfeited matches award 0 league points to the forfeiting team and 3 league points to the team that attended.

7.4 Falsified submissions

Submitting a result that you know to be false, or colluding with another coach to enter a fictitious result, is a material breach of these Terms. Confirmed falsification may result in match annulment, league-point deduction, account suspension, or permanent removal from the Service.

8.Player Statistics and Scout Visibility

The Service computes Player-level statistics from match-result submissions and from Player-of-the-Match nominations entered by Scouts. Visibility of these statistics is strictly controlled by your role on the Service:

League standings (team-level: points, wins, draws, losses, goals for / against) are visible to all members of the league and on the public scoreboard. Player names are never shown.
Goal-scorer counts are visible to the Player's own Coach and to authorised Scouts. They are not visible to other coaches.
Player-of-the-Match tallies are visible only to authorised Scouts. They are not visible to the Player, to the Player's Coach, to other coaches, or to the public.

You agree not to attempt to view, infer, or share data outside the scope granted to your role.

9.User Content and Licence

9.1 You own your content

You retain all ownership rights in the User Content you submit to the Service (profile photo, club details, Player records, match results, chat messages).

9.2 Limited licence to SCM

You grant SCM a non-exclusive, worldwide, royalty-free, transferable, sub-licensable licence to host, store, copy, display, and process your User Content solely for the purpose of operating, securing, and improving the Service.
This licence terminates when you delete the User Content or your account, except (a) for the limited period that the User Content may persist in encrypted backups (see the Privacy Policy) and (b) for any User Content that is part of a public league standing, which may remain published as an aggregated record of the season.

9.3 Your warranties

You warrant that you have the right to grant the licence above for everything you submit.
You warrant that your User Content does not infringe any third-party intellectual property, privacy, or publicity right.
You warrant that any Player photo you upload is accompanied by parental / guardian consent for processing by SCM.

10.Acceptable Use and Code of Conduct

You agree NOT to:

Use the Service for any purpose that is illegal under your local law or under the Republic of Ghana.
Impersonate any other person, mis-state your club, age category, or location, or otherwise provide false information at sign-up.
Upload or transmit content that is harassing, threatening, defamatory, obscene, hateful, or that incites violence — including in league group chats and in SCM Contact enquiries.
Upload or process Player data without the parental / guardian consent required by Section 4.
Attempt to gain unauthorised access to any part of the Service, to any other user's account, or to the underlying servers or database.
Reverse engineer, decompile, scrape, or otherwise attempt to derive the source code of the Service except to the extent that applicable law expressly permits despite this restriction.
Use the Service to build a competing product or to train any machine-learning model.
Use the Service to send unsolicited commercial messages, marketing, or political campaigning.
Interfere with, overload, or disrupt the Service's operation (e.g. denial-of-service attempts, automated scraping at abusive rates).
Use the Service to identify, contact, or approach Players directly or through their families outside the official scouting channel described in Section 5.

11.AI-Powered Features

The Service includes a chat assistant labelled SCM Contact that answers general questions about the platform. Messages you send to SCM Contact are processed by a third-party large-language-model provider (currently OpenAI) as described in the Privacy Policy.

Informational only. The SCM Contact assistant is not a substitute for professional legal, medical, financial, or safeguarding advice. Do not rely on it for any safety-critical decision.
Possibly inaccurate. Like any AI system, SCM Contact can produce confident-sounding but inaccurate or out-of-date answers. Verify anything important with a human SCM admin or the relevant official source.
Do not share sensitive data. Treat the SCM Contact assistant like an email to a customer-support agent. Do not enter passwords, payment details, or sensitive personal information about Players.
Optional. The rest of the Service works without using SCM Contact. You can simply not use the chat tab.

12.Intellectual Property

The Service — including the source code, design, brand marks, copy, documentation, the SCM name, and the SCM logo — is owned by Sport Creates Memories and is protected by copyright, trademark, and other intellectual-property laws.
Subject to your compliance with these Terms, SCM grants you a limited, revocable, non-exclusive, non-transferable, non-sub-licensable licence to download and use the App on devices you own or control, and to use the Website, for the purpose of accessing the Service.
Nothing in these Terms transfers ownership of any SCM intellectual property to you. You may not copy, modify, distribute, sell, or lease any part of the Service.
If you submit a feature suggestion or other feedback to SCM, you grant SCM a perpetual, irrevocable, royalty-free licence to use that feedback without obligation to you.

13.Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes what data we collect, how we use and store it, who we share it with, the rights you have over your data, and how to delete your account. 14.Service Availability and Modifications

The Service is provided on a best-effort basis. We do not promise any specific level of uptime, latency, or performance.
We may add features, change features, remove features, or pause the Service for maintenance at any time. We will use commercially reasonable efforts to give advance notice of material changes that affect active leagues.
The Service is currently free of charge. We reserve the right to introduce paid features or premium tiers in the future; in that case, paid features will be governed by additional terms presented to you at the point of purchase.
Some features depend on third-party services (Firebase Cloud Messaging for push notifications, OpenAI for AI chat, Gmail SMTP for email, DigitalOcean for hosting). Downtime of those services can interrupt the affected SCM feature, and we are not responsible for failures caused by them.

15.Suspension and Termination

15.1 Your right to terminate

You can delete your account at any time from inside the App (ProfileCoach ProfileDelete Account). Deletion takes effect within 30 days, as described in the Privacy Policy.

15.2 Our right to suspend or terminate

We may suspend or terminate your access, in whole or in part, without prior notice, if we reasonably believe that you have breached these Terms, the Code of Conduct, the Coach Responsibilities in Section 4, the Scout Responsibilities in Section 5, or applicable law.
We may suspend any account for which we receive a credible safeguarding concern, pending investigation.
We may decommission the Service in its entirety on no less than 60 days' notice, in which case we will offer an export of your User Content where technically feasible.

15.3 Effect of termination

Sections that by their nature should survive termination (Definitions, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, this Section, Contact) survive.
Termination does not waive any right or remedy that has already accrued.

16.Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SCM DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE — INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
SCM does not warrant that the Service will be uninterrupted, secure, or error-free, that data will be preserved, or that any AI-generated content will be accurate.
SCM does not warrant the accuracy of match results, league standings, or Player statistics — these are produced from coach and scout submissions and are no more reliable than the data submitted.
SCM is not a youth-football governing body, a child-protection agency, or a licensed football scout. Compliance with safeguarding, child-protection, sporting, and football-association rules is your responsibility.

17.Limitation of Liability and Indemnification

17.1 Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SCM, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST GOODWILL, LOST OR CORRUPTED DATA, OR THE COST OF SUBSTITUTE SERVICES — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
In any case, SCM's aggregate liability for any claim arising out of or related to the Service is limited to the greater of (a) the amount you paid SCM in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred United States dollars (USD 100). Because the Service is free of charge as of the effective date, the practical floor of this cap is USD 100.
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. To the extent the above is not enforceable in your jurisdiction, our liability is limited to the maximum extent permitted by law.

17.2 Indemnification

You agree to defend, indemnify, and hold harmless SCM and its directors, officers, employees, and contractors from and against any claim, demand, loss, damage, cost, or expense (including reasonable legal fees) arising out of (a) your use of the Service, (b) your User Content, (c) your breach of these Terms, (d) your violation of applicable law (including child-protection and data-protection law), or (e) your violation of any third party's rights.
SCM reserves the right to assume the exclusive defence and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defence.

18.Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict-of-laws principles.
The parties first agree to attempt in good faith to resolve any dispute by direct negotiation. If the dispute is not resolved within thirty (30) days of written notice, either party may bring the dispute before the courts of Accra, Ghana, which the parties accept as the courts of exclusive jurisdiction.
Nothing in this clause prevents either party from seeking injunctive or interim relief in any court of competent jurisdiction to protect intellectual-property rights or confidential information.
If you are a consumer resident in a jurisdiction whose mandatory consumer-protection law overrides the choice of law or forum above, that mandatory law applies to the extent required.

19.Changes, Severability, and Entire Agreement

19.1 Changes to these Terms

We may update these Terms from time to time. When we do, we will (a) post the revised Terms on this page with a new effective date and (b) for material changes, notify active account holders by in-app message or email at least 14 days before the change takes effect.
Your continued use of the Service after the effective date of revised Terms constitutes acceptance of those revised Terms. If you do not accept the revised Terms, your only remedy is to delete your account as described in Section 15.1.

19.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision is severed and the remaining provisions continue in full force.

19.3 No waiver, no assignment

No failure or delay by SCM in exercising any right under these Terms constitutes a waiver of that right.
You may not assign or transfer these Terms or any rights under them without SCM's prior written consent. SCM may assign these Terms freely as part of a corporate transaction.

19.4 Entire agreement

These Terms, together with the Privacy Policy and any in-product notices we present at sign-up, constitute the entire agreement between you and SCM regarding the Service, and supersede any prior agreement on the same subject matter.
